1. Scope and Applicability
These Corporate Terms and Conditions ("Terms") govern the provision of furnished apartment accommodation services by RED HOTEL ACCOMMODATION SRL ("Provider") to legal entities ("Client") for stays of a minimum of 30 (thirty) consecutive days.
These Terms apply exclusively to B2B corporate housing contracts. For stays of 7–29 nights, the Weekly Stay Terms apply. By signing a Corporate Housing Agreement or submitting a corporate proposal request, the Client accepts these Terms in full.
2. Contract Formation
A corporate housing contract is formed upon: (a) written confirmation by the Provider of the Client's proposal request, and (b) receipt of the security deposit as specified in Article 4. All contracts are concluded between the Provider and the Client's legal entity. Individual employees occupying the apartment are not parties to the contract.
The Provider reserves the right to request company registration documents, VAT certificate, and authorized representative identification prior to contract execution.
3. Minimum Duration and Occupancy
The minimum contract duration is 30 (thirty) consecutive days. Contracts may be concluded for periods of up to 12 months, with extension options as provided in Article 9. The apartment shall be occupied exclusively by the persons designated in the contract. Unauthorized subletting or assignment is strictly prohibited.
4. Security Deposit
A security deposit equivalent to 50% (fifty percent) of the monthly contract price is required prior to occupancy. The deposit is held as security against: (a) unpaid invoices, (b) damages beyond normal wear and tear, (c) costs arising from early termination without proper notice.
The deposit shall be returned within 14 business days of contract end, following a property inspection. Any deductions will be itemized in writing. The deposit does not bear interest.
5. Invoicing and Payment
The Provider issues monthly fiscal invoices under CUI RO 24761246, subject to TVA la încasare (VAT on collection). Invoices are issued at the beginning of each rental period and are due within 15 (fifteen) calendar days of issuance.
Payment shall be made by bank transfer to the Provider's designated account. Invoices may be issued in RON or EUR at the Client's request. For EUR invoices, the BNR exchange rate on the invoice date applies. Late payments accrue interest at the statutory rate under Romanian law.
6. Included Services
The monthly contract price includes: electricity, water, heating, high-speed internet (minimum 500 Mbps), building maintenance, linen and towels at check-in, and digital self check-in access. Utilities are included within reasonable residential consumption levels. Consumption significantly exceeding normal residential use may be invoiced separately, with prior written notice to the Client.
Optional services (periodic cleaning, additional linen changes, parking) are available at additional cost and invoiced separately.
7. Property Use and Obligations
The Client and designated occupants shall: (a) use the apartment solely for residential purposes, (b) maintain the property in good condition, (c) report any damage or malfunction within 24 hours, (d) comply with building rules and applicable regulations, (e) not make alterations to the property without written consent.
Smoking is not permitted inside the apartments. Pets are not permitted unless explicitly agreed in writing. The Client is responsible for ensuring that designated occupants comply with these obligations.
8. Damages and Liability
The Client is responsible for damages to the apartment and its contents that exceed normal wear and tear. Damage assessment is conducted at check-out. The Provider shall provide a written damage report with photographic evidence within 5 business days of check-out.
The Provider's liability is limited to direct damages arising from its own negligence. The Provider is not liable for loss of business, indirect damages, or consequential losses. The Provider maintains property insurance; the Client is responsible for insuring personal belongings.
9. Contract Extension
The Client may request a contract extension by providing written notice at least 30 (thirty) days before the contract end date, subject to apartment availability. Extensions are confirmed in writing by the Provider. Extended periods are invoiced at the rate applicable to the total cumulative duration.
10. Early Termination
Either party may terminate the contract early by providing 30 (thirty) days written notice. No additional penalty applies when proper notice is given. The Client remains liable for the rental amount during the notice period.
The Provider may terminate the contract immediately and without notice in cases of: (a) non-payment of two consecutive invoices, (b) material breach of property use obligations, (c) illegal activity on the premises. In such cases, the security deposit is forfeited.
11. Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, governmental orders, or infrastructure failures. The affected party shall notify the other within 48 hours of the force majeure event. If the event persists for more than 30 days, either party may terminate the contract without penalty.
12. Data Protection
Personal data provided in connection with the contract is processed in accordance with the Provider's GDPR Privacy Policy, available at redhotelcorporate.ro/gdpr. The legal basis for processing is Article 6(1)(b) GDPR (performance of a contract).
13. Governing Law and Jurisdiction
These Terms and any corporate housing contract concluded hereunder are governed by Romanian law. Any disputes arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Cluj-Napoca, Romania.
14. Amendments
The Provider reserves the right to amend these Terms with 30 days written notice to existing Clients. Continued use of the accommodation after the notice period constitutes acceptance of the amended Terms. The current version is always available at redhotelcorporate.ro/termeni-corporate.
